Terms and Conditions

Zetech Technologies Professional Services Agreement

1. Business Operations

Zetech Technologies provides professional services in web design, eCommerce solutions, technical support for tech-related issues, and Point of Sale (POS) systems. These services are designed to meet the unique needs of each client while maintaining high standards of quality and professionalism.

2. User Responsibilities

  • Provide accurate and timely information required for project execution.
  • Refrain from engaging in any activity that disrupts or compromises the functionality of services delivered.
  • Avoid unauthorized modifications to services or deliverables unless explicitly permitted.
  • Understand that delays in approvals, feedback, or provision of necessary materials may impact project timelines.
  • Ensure compliance with all applicable laws and regulations when using services or deliverables provided by Zetech Technologies.

3. Payment and Billing

Zetech Technologies operates on a 50%-30%-20% payment structure:

  • 50% upfront before work commences to secure the project and allocate resources.
  • 30% after project milestones are delivered, such as a working demo or staging site.
  • 20% upon completion and handover of the final deliverables.

In the case of delayed or non-payment:

  • A 7-day grace period will be offered to resolve payment issues.
  • After the grace period, a late fee of 5% of the outstanding balance will be applied.
  • Persistent non-payment (over 30 days) will result in suspension of services, and access to any hosted services may be revoked until payments are settled.
  • If necessary, the matter may be escalated to collections or legal proceedings as a last resort.

4. Intellectual Property

  • Ownership of deliverables (e.g., websites, designs) transfers to the client only after full payment is received.
  • Until final payment is made, Zetech Technologies retains ownership and all rights to the deliverables.
  • Zetech Technologies retains the right to showcase completed projects in its portfolio for promotional purposes unless explicitly restricted by the client.

5. Limitations and Liabilities

  • Zetech Technologies is not liable for damages caused by third-party tools, hosting providers, or client actions.
  • No guarantees are provided for uninterrupted service if hosting or software involves third-party platforms.
  • Liability is limited to the amount paid by the client for the specific service or project in question.

6. Amendments to T&Cs

Zetech Technologies reserves the right to amend the Terms and Conditions at any time. Clients will be notified of significant changes, and continued use of services implies acceptance of the updated terms.

7. Jurisdiction and Governing Law

All agreements and disputes shall be governed by the laws of Kenya, where Zetech Technologies is based.

8. Dispute Resolution

In the event of disputes, Zetech Technologies prefers resolution through mediation or arbitration before escalating to courts. This ensures a fair and expedient resolution for all parties.

9. Service Termination

Zetech Technologies reserves the right to terminate services if:

  • A client violates these Terms and Conditions.
  • Payments are not made within the specified timeframes.
  • The project is deemed unfeasible due to client actions or lack of cooperation.

10. Confidentiality

Zetech Technologies respects client confidentiality and ensures that all sensitive information shared during the project remains secure. Non-disclosure agreements (NDAs) can be signed if required.

11. Data Usage and Privacy

Zetech Technologies only collects client data necessary for project execution and communication. All data is handled in compliance with privacy laws, and no data is shared with third parties without explicit consent.

12. Delivery Timelines

Zetech Technologies commits to delivering projects within agreed timelines, provided the client meets their responsibilities (e.g., timely provision of information). Delays caused by clients may lead to rescheduled deadlines.
